Tutor Agreement & Policy

1. Introduction

This Tutor Agreement & Policy ("Agreement") governs your use of Vocally Global Inc. ("Vocally," "Vocally Global," "we," "us," or "our") as a tutor, coach, instructor, teacher, or service provider on the Vocally Global platform, website, applications, and related services (collectively, the "Platform").

By creating a tutor account, submitting a tutor profile, completing verification, offering lessons, accepting bookings, or receiving payments through the Platform, you agree to this Agreement.

If you do not agree with this Agreement, you must not offer lessons or services through the Platform.

2. Nature of the Platform

Vocally Global is an online marketplace that connects students and learners with independent tutors and coaches.

Vocally provides the technology, marketplace infrastructure, booking tools, payment processing, communication tools, and administrative support needed to facilitate lessons and services.

Vocally does not employ tutors. Tutors are independent service providers and are responsible for the lessons, coaching, content, materials, and services they provide through the Platform.

3. Independent Contractor Status

Tutors are independent contractors and are not employees, agents, partners, representatives, or franchisees of Vocally Global Inc.

Nothing in this Agreement creates an employment relationship, joint venture, partnership, agency relationship, or exclusive relationship between you and Vocally.

As an independent contractor, you are responsible for:

Vocally does not control the method, manner, or content of your teaching, coaching, or instruction, except as necessary to enforce platform standards, safety rules, user policies, legal requirements, and quality expectations.

4. Tutor Eligibility

To become and remain a tutor on Vocally, you must:

Vocally may accept, reject, suspend, or remove tutor profiles at its discretion if a profile is incomplete, inaccurate, misleading, inappropriate, low quality, or not aligned with the Platform's standards.

5. Tutor Profile and Approval

Tutors must create a public profile that may include their name, profile photo, biography, languages offered, skills, certifications, education, introductory video, price per lesson, availability, and other relevant information.

You are responsible for ensuring that your profile is accurate, professional, and not misleading.

You must not:

Vocally may review, approve, reject, edit, hide, or remove tutor profile content to protect users, maintain quality, comply with law, or enforce this Agreement.

6. Identity, Tax, and Payment Verification

Before offering paid lessons or receiving payouts, tutors may be required to complete identity, tax, and payment verification through Vocally's payment or verification providers, such as Stripe or another approved provider.

You agree to provide accurate information for verification and payment purposes.

Vocally may receive verification status, payment status, payout information, tax compliance status, and related administrative information from third-party providers. Vocally does not store full payment card numbers on its own servers and does not store full identity documents unless otherwise disclosed in the Privacy Policy.

Failure to complete required verification may prevent you from offering paid lessons or receiving payouts.

7. Services Offered by Tutors

Tutors may offer language lessons, communication coaching, interview preparation, business communication support, conversation practice, academic support, personal development coaching, mindfulness-based communication support, guided meditation, or other services approved by Vocally.

Tutors are responsible for clearly describing the services they offer.

Tutors offering coaching, mindfulness, meditation, personal development, or similar services must not present their services as medical care, therapy, psychotherapy, psychological treatment, legal advice, financial advice, immigration advice, or any regulated professional service unless they are legally licensed to provide that service in the relevant jurisdiction.

Tutors must not diagnose, treat, or advise users regarding medical, mental health, legal, financial, or immigration matters unless they are properly qualified and legally permitted to do so.

8. Lesson Quality and Professional Standards

Tutors agree to provide services in a professional, respectful, prepared, and reliable manner.

Tutors must:

Vocally may investigate complaints about tutor conduct, lesson quality, no-shows, inappropriate behaviour, or policy violations.

9. Bookings, Scheduling, and Availability

Tutors are responsible for maintaining accurate availability on the Platform.

When a tutor accepts or confirms a booking, the tutor is expected to attend and deliver the lesson at the scheduled time.

Changes to availability apply to future bookings only and do not automatically cancel existing bookings.

Tutors should communicate promptly if a scheduling issue arises and must follow the Platform's cancellation and rescheduling process.

10. Trial Lessons

Tutors may choose to offer trial lessons in available trial lesson lengths, including 25-minute and 50-minute options where supported by the Platform.

If a tutor offers more than one trial lesson length, students may choose their preferred option at booking.

Trial lesson fees are split 50/50. The tutor and Vocally each receive 50% of the amount paid for the trial lesson.

A student may book one trial lesson per tutor. Trial lessons do not open reviews and never produce a rating for a tutor: a student may review a tutor only after completing a paid lesson with them, as described in section 6 of the Terms of Service. A trial exists to establish whether the student and the tutor are a match, and is not treated as an assessment of the tutor's teaching.

Trial lesson rules may be updated from time to time and will apply as displayed on the Platform or in the applicable payment policy.

11. Tutor Fees, Service Fee, and Payouts

Creating a tutor profile is free. There are no subscription fees and no listing fees. Tutors set their own price per lesson, within the limits and options made available on the Platform.

Vocally applies a platform service fee (also referred to as a commission) to paid lessons, deducted from the price the Student pays. Unless otherwise updated in the Platform or payment policy, the standard service fee is:

Completed teaching hours accumulate across every Student a Tutor teaches, and a Tutor's service fee tier does not increase again once reached. Trial lessons are outside this scale: a trial lesson is split 50/50 between the Tutor and Vocally, at every tier, as described in section 10.

Service fee levels may depend on completed paid lesson hours, completed bookings, account status, refund activity, fraud prevention rules, payment processing rules, or other factors disclosed by Vocally. A Tutor's applicable fee is the one recorded in the plan they accepted; changes are notified and require acceptance before they apply.

11.1 When Earnings Are Released

A Student may report a problem with a lesson for 7 days after it ends, as described in section 5 of the Terms of Service. Vocally therefore holds a Tutor's earnings from a lesson for 14 days after that lesson — the reporting period plus time to review a request — after which they are released automatically. A Tutor does not need to request a payout.

Once released, earnings are transferred to the Tutor's connected payment account, subject to any minimum transfer amount displayed on the Platform. Settlement from that account to the Tutor's bank is performed by the payment provider on the schedule shown in the provider's own dashboard. The holding period and the minimum transfer amount are displayed on the Platform and may be updated there.

Payout timing may additionally depend on payment processor requirements, identity verification, tax verification, chargebacks, fraud checks, weekends, holidays, banking delays, or technical issues.

Where a lesson is refunded after its earnings were released, Vocally may recover the amount from the Tutor's subsequent earnings.

Tutors are responsible for any taxes, reporting obligations, bank fees, currency conversion fees, payment processor fees, or other obligations that apply to their earnings unless otherwise stated.

12. Cancellations, Refunds, No-Shows, and Disputes

Cancellations, rescheduling, refunds, no-shows, credits, and lesson disputes are governed by the cancellations and refunds provisions of Vocally's Terms of Service and any rules displayed at the time of booking.

Tutors agree to follow the Platform's cancellation and refund processes. Vocally may withhold, adjust, reverse, or recover tutor payments where required due to cancellations, refunds, chargebacks, payment disputes, fraud, technical errors, policy violations, or failure to deliver a scheduled lesson.

Vocally may review disputes between students and tutors but is not required to resolve every disagreement unless expressly stated in the Terms of Service.

13. Student Communications

Tutors must communicate with students through the Platform unless otherwise permitted by Vocally.

Tutors must not use student information for purposes unrelated to the lesson or service booked through the Platform.

Tutors must not send spam, unrelated promotions, external offers, inappropriate messages, or requests to move payments or lessons outside the Platform.

Tutors must maintain professional boundaries in all student communications.

14. Anti-Circumvention and Off-Platform Activity

To protect the integrity of the marketplace, tutors agree not to bypass Vocally after being introduced to a student through the Platform.

Tutors must not:

Violation of this section may result in cancellation of lessons, withholding of payouts, suspension, removal from the Platform, loss of access to the account, and recovery of amounts owed to Vocally.

Vocally reserves the right to pursue any remedies available under applicable law for intentional circumvention, fraud, misuse of the Platform, or loss caused by breach of this Agreement.

15. Tutor Content and Lesson Materials

Tutors retain ownership of their own lesson materials, profile content, videos, images, documents, and other content they create or upload, subject to the rights granted in this Agreement.

By uploading or submitting content to the Platform, you grant Vocally a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, format, transmit, and use that content as necessary to operate, improve, promote, and support the Platform.

For public tutor profile content, including your name, profile photo, biography, languages offered, introductory video, and public profile information, you grant Vocally permission to display that content on the Platform.

If you opt in to tutor profile promotion, you also permit Vocally to feature your tutor profile content on Vocally's social media channels for promotional purposes at no cost to you.

Tutor profile promotion is optional. You may opt in or withdraw your consent through your account settings or by contacting support. Withdrawal of consent will not affect promotional use that occurred before withdrawal.

Vocally will not use your tutor profile for paid advertising or third-party commercial purposes without separate explicit consent.

You represent that you own or have permission to use any content, materials, images, videos, documents, logos, music, or third-party content you upload or provide through the Platform.

You must not upload content that infringes intellectual property rights, privacy rights, publicity rights, confidentiality obligations, or any applicable law.

16. Student Use of Tutor Materials

Unless otherwise agreed, students may use lesson materials provided by tutors only for their own personal learning and educational purposes.

Students may not sell, publish, redistribute, copy, upload, share publicly, or commercially exploit tutor materials without the tutor's permission.

Tutors are responsible for making clear whether any additional restrictions apply to their own materials.

17. Reviews and Ratings

Students may leave reviews, ratings, or feedback after eligible lessons.

Tutors may not pressure, manipulate, reward, or threaten students in exchange for reviews.

Tutors must not post fake reviews, ask others to post fake reviews, or attempt to interfere with the review system.

Vocally may remove reviews that are abusive, fraudulent, discriminatory, irrelevant, misleading, inappropriate, or in violation of platform policies.

18. Working With Minors

Tutors may teach or coach minors only where permitted by the Platform and applicable law.

Tutors working with minors must maintain appropriate professional boundaries at all times.

Tutors must not:

If a tutor becomes concerned about a minor's safety or wellbeing, the tutor should contact Vocally support promptly. In an emergency, the tutor should contact appropriate local emergency services.

19. Confidentiality

Tutors may receive access to personal information, learning goals, messages, lesson details, payment status, or other confidential information about students.

Tutors agree to use this information only for the purpose of providing services through the Platform.

Tutors must not disclose, sell, share, misuse, copy, or retain student information outside the Platform except as necessary to provide the booked lesson or as required by law.

20. Prohibited Conduct

Tutors must not:

Vocally may suspend, restrict, or terminate a tutor account at any time if Vocally believes that the tutor has violated this Agreement, created risk for users, failed verification, provided inaccurate information, received serious complaints, engaged in misconduct, violated law, or harmed the Platform.

Vocally may also remove or hide tutor profiles, pause bookings, cancel lessons, withhold payouts, or require additional verification while reviewing an account.

Certain obligations survive termination, including payment obligations, confidentiality, intellectual property rights, anti-circumvention obligations, indemnification, limitations of liability, dispute provisions, and any rights or obligations that by their nature should survive.

22. Platform Availability and Changes

Vocally may update, modify, suspend, or discontinue parts of the Platform from time to time.

Vocally does not guarantee uninterrupted access, error-free service, unlimited bookings, income, student demand, search placement, visibility, profile ranking, or specific results.

23. No Guarantee of Earnings or Students

Vocally does not guarantee that tutors will receive bookings, students, earnings, reviews, rankings, profile visibility, or continued access to the Platform.

Tutor success may depend on profile quality, pricing, availability, student demand, ratings, response time, completed lessons, compliance with platform policies, and other marketplace factors.

24. Privacy

Tutor use of the Platform is subject to Vocally's Privacy Policy.

The Privacy Policy explains how Vocally collects, uses, discloses, and protects personal information. Where required by law, Vocally requests consent for specific uses of personal information.

Tutors agree to handle student personal information responsibly and in accordance with this Agreement, the Privacy Policy, and applicable law.

25. Disclaimer

The Platform is provided on an "as is" and "as available" basis.

Vocally does not guarantee that the Platform will be uninterrupted, error-free, secure, or free from defects.

Vocally is not responsible for the accuracy, quality, legality, suitability, or outcome of any tutor services, student goals, user content, or user interactions, except as required by applicable law.

26. Limitation of Liability

To the maximum extent permitted by applicable law, Vocally Global Inc. and its directors, officers, employees, contractors, service providers, and agents will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of data, loss of goodwill, loss of business opportunities, or platform interruptions.

To the maximum extent permitted by applicable law, Vocally's total liability for any claim arising from or related to this Agreement or the Platform will not exceed the total platform fees paid to Vocally in connection with the tutor's account during the twelve months before the claim arose.

Nothing in this Agreement limits liability where such limitation is prohibited by applicable law.

27. Indemnification

You agree to indemnify, defend, and hold harmless Vocally Global Inc., its directors, officers, employees, contractors, service providers, and agents from and against any claims, losses, damages, liabilities, penalties, costs, or expenses, including reasonable legal fees, arising from or related to:

28. Governing Law

This Agreement is governed by the laws of the Province of Quebec and the applicable laws of Canada, without regard to conflict of law principles.

Subject to any mandatory consumer protection rights or legal requirements that may apply, any dispute related to this Agreement or the Platform will be submitted to the courts located in the Province of Quebec, Canada.

29. Changes to This Agreement

Vocally may update this Agreement from time to time.

Vocally will notify tutors of material changes by email, in-app notice, or other reasonable means before the changes take effect.

Continued use of the Platform after the effective date means the updated Agreement applies to your continued use of the Platform. Where required by law, Vocally will request consent for material changes.
